While Supplier agrees that no changes may be made to Materials or their applicable manufacturing location without Avaya’s written approval,Supplier agrees to notify Avaya/SP in writing at least 60 days in advance of any change to be made in the Materials or in the Documentation covered by this Agreement that would impact upon:(i) reliability,(ii) the requirements of the Documentation,or (iii) Form,Fit or Function (as defined below) (collectively a “Material Change”).
